Welcome to the website of www.scriptalegal.com (hereinafter referred to as "the Website" for the purpose hereof). Services on the Website are offered to you by La Société Scripta Legal Inc. (hereinafter referred to as "Scripta Legal Inc.") which is the operator and licensee of the Website, subject to the terms of use set forth hereinafter (hereinafter referred to as "the Terms of Use") which also include the policies for the protection of personal information and data privacy as well as the confidentiality policy. Les Logiciels Scripta Legal Inc. (hereinafter referred to as "Logiciels Scripta Inc.") has the entire and exclusive property in perpetuity of the Website which is, however, used, operated and commercialized solely by Scripta Legal Inc. since Logiciels Scripta Inc. has granted to the latter a non-exclusive license for the use, operation and commercialization of the Website and its Contents (hereinafter referred to as "the License"). The name of the Website, namely www.scriptalegal.com, is a domain name belonging exclusively to Logiciels Scripta Inc. which is the sole owner of this name in perpetuity, the latter reserving the exclusive use thereof, and which has authorized Scripta Legal Inc. to use it pursuant to the License.
The Website contains texts, general legal information, contract templates as well as document and resolution templates, legal writings, data, interactive questionnaires and documents, images, graphics, photos, audio and video extracts, and other elements, including interactive features of the Website (collectively referred to as the "Contents") that are provided to you in order to offer you the services of the Website. These elements consist in providing you with interactive questionnaires to which you will answer based on facts of which you have personal knowledge and related to your particular legal situation and through which will be generated documents that you have selected.
Scripta Legal Inc. now offers, as services available on the Website, the possibility for users to sign certain notarized deeds remotely (through videoconferences) using technology.

GENERAL TERMS AND CONDITIONS
OF USE
SECTION A - ACCESSING AND USING THE WEBSITE
Whether it is by accessing the Website, by using the services offered thereon, by creating a client account on the Website, by downloading any element of the Contents and any document from the platform of the Website or by uploading (downloading towards the upstream) any document or material on the Website, you agree to be bound by the Terms of Use that apply to you and to comply with same as they constitute an agreement between you, Scripta Legal Inc. and the Website by the sole fact that you access or use the Website. In fact, by the mere fact of accessing the Website, you are then subject to compliance with these Terms of Use as well as the obligations provided for herein for each user of the Website. If you do not wish to be bound by these Terms of Use, you must refrain from accessing the Website.
These Terms of Use, including the policies for the protection of personal information and data privacy as well as the confidentiality policy of Scripta Legal Inc., create legal obligations that are binding you to Scripta Legal Inc. and the Website and they constitute the entire agreement between you, Scripta Legal Inc. and the Website. However, no relationship of agency, partnership, joint venture mandatary-attorney, fiduciary or any other type of relationship whatsoever concerning the documents generated and issued instantly on the Website exists or is created between you, Scripta Legal Inc. and the Website by these Terms of Use, unless there is a prior written agreement to that effect between you, Scripta Legal Inc. and the Website and well as Logiciels Scripta Inc. In fact, no mandate applies under the terms hereof, unless your request as a user of the Website involves human intervention on the part of Scripta Legal Inc. for which a longer period of time is required, such as, for example, a technology-based notarial instrument or a Will search.
For greater clarity, for all users who do not open a client account on the Website, these Terms of Use will still apply as they access the Website.
This agreement is effective and remains in force for an indefinite period of time from the moment when you use or access the Website, the sole use of or access to the Website meaning that you agree to the Terms of Use which are set out therein as well as all policies, conditions and rules related thereto and, therefore, you agree to the collection, use, retention and protection of your personal information in accordance herewith.
The following sections hereof will survive any termination of the Terms of Use: (a) Part 8 concerning "Restrictions on the use of the Website", including "Control of use of the Website" in Section E of Part 8; (b) Section A of Part 9 concerning "No warranty, including with respect to any obligation of results and limitation of liability"; (c) Part 9, Section B concerning "Exoneration"; (d) Section A of Part 10 concerning "Limitation of liability"; and (e) Section B of Part 10 concerning "Indemnification".

BY SIMPLY ACCESSING THE WEBSITE OR BROWSING THE WEBSITE ONLY, YOU ALSO AGREE AND ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS OF USE AND AGREE TO BE BOUND BY THEM.
HOWEVER, IF YOU REFUSE THESE TERMS OF USE, YOU WILL BE PROHIBITED TO USE OR ACCESS THE WEBSITE AND YOU WILL HAVE TO LEAVE IMMEDIATELY THE WEBSITE.

When you use any service on the currently offered or forthcoming Website, when you access the Website or the website of any affiliated business enterprise, regardless of whether or not it is appearing on the Website, you are also bound by the terms and conditions governing such service or such business enterprise.
By agreeing to comply with the Terms of Use of Scripta Legal Inc., you acknowledge that the services offered on the Website are for your own personal use, which means that you are strictly prohibited to make any commercial use thereof and that the use by a third party or sharing with a third party of your username and password in the Website is also strictly prohibited. Failure to comply with these requirements may result in immediate suspension of your client account.
If you create or use on the Website a client account registered in the name of a legal entity, you then declare and represent to Scripta Legal Inc. that you are authorized to act on its behalf and that you have authority to bind such entity by the Terms of Use of Scripta Legal Inc., being understood that such account shall then be considered as being the property and under the control of such legal entity.
SECTION B - USE OF VIRTUAL SERVERS
In order to offer the services of the Website to users in the safest way, Scripta Legal Inc. uses dedicated virtual servers, also called virtual servers, which are in fact virtual machines on which we find the entire Contents of the Website, software used by the latter and its operating system as well as databases and personal information collected. A virtual server is a simulated server on a hosting server which, in turn, consists of a physical server set up to administer and ensure the proper operation of all the virtual servers that it hosts.
The virtual servers of the Website are hosted on a physical server, being a body hardware server, which is located in Canada and they are independent as they are not linked to all other virtual servers that can also be hosted on that same physical server through partition of the physical server into multiple virtual servers. Thus, the virtual servers of the Website have all the features of a standard dedicated server through the use of virtualization techniques. Scripta Legal Inc. has chosen to use virtual servers because their use offers greater security on the Internet and better reliability in terms of the services that it offers.
All requirements provided in the Terms of Use and applying to the Website as regards the personal information collected by Scripta Legal Inc., also apply to the corporation providing the latter with hosting services for the virtual servers of the Website since this corporation has signed with Scripta Legal Inc. an agreement imposing on it similar obligations.
Although Scripta Legal Inc. uses hosting services to ensure the operation of the virtual servers of the Website from a Canadian specialized corporation, Scripta Legal Inc. has exclusively all rights required to operate and administer the virtual servers of the Website, which are hosted on a physical server of this corporation.
For the purposes hereof, the expression "the servers of the Website" will always be used despite the fact that Scripta Legal Inc. is using virtual servers in order to operate the Website.
SECTION C - FEATURES OF THE WEBSITE

If you have a question about the operation of the Website or if you wish to make a complaint concerning the services offered by the Website, you can contact Scripta Legal Inc. by using the information available on this subject and found on the web page entitled "Contact us".
Newsletters sent by Scripta Legal Inc.
Subscription to newsletters sent by Scripta Legal Inc. is totally public, that is to say open to all. No control over subscription exists a priori. One may subscribe in a totally autonomous way and unsubscribe whenever they want. If you choose to subscribe, Scripta Legal Inc. will collect your email address. This email address will be used exclusively to send you the newsletters you have requested.
There are three different ways for Scripta Legal Inc. to collect your email address: (1) when a user subscribes to our newsletters; (2) if a user opens a client account and simultaneously checks the "newsletter" box; and (3) if a user has a purchase history on the Website, which allows us to send him emails for a certain period of time in accordance with the spam legislation.
Thus, no personal information or information collected on the Website at the time of such a subscription will be communicated to third parties. In addition, subscribers' list of Scripta Legal Inc. will never be sold, nor leased to third parties.
Ownership and operation of the Website
Logiciels Scripta Inc. owns the entire, exclusive and perpetual property of the Website www.scriptalegal.com, but pursuant to the License granted by Logiciels Scripta Inc., Scripta Legal Inc. can use, operate and commercialize the Website, all the Contents on the Website, the name "Scripta Legal" and the logo of Scripta Legal Inc., the domain name "www.scriptalegal.com" and the trademarks linked to the Website as well as Scripta Legal Inc. will be able to use and operate all the Contents of the Website that will be created and added on the Website in the future as well as to use and operate the Website as it will exist in the future. Pursuant to the License granted to it, Scripta Legal Inc. has alone, and will have alone in the future, the legal responsibility for the legal aspects of the Contents of the Website and for the computer-related aspects of the Website and its Contents. All the interactive documents, contract templates and legal writings that are currently found, and will be found for the future, in the Contents of the Website have been and will be prepared by notaries and lawyers.
Scripta Legal Inc., as sole operator of the Website, undertakes to ensure at all times, in accordance with its policies in force, the protection and the confidentiality of personal information that you will provide to it or that you will transmit on the Website.
Furthermore, all directors, employees, representatives and subcontractors of Scripta Legal Inc., as well as persons related to the operation and functioning of the Website, have signed confidentiality agreements, except in the case of professionals who are governed by the Professional Code of Québec or their own Code of Ethics.
General and informative legal information appearing on the Website and interactive documents - Liability
Contents of the Website and any material appearing on the whole Website that constitute general and informative legal information or deal with legal aspects, are posted solely for general information purposes for users since they have been prepared for such purposes only. General and informative legal information appearing on the Website is provided to you on an "as is" basis and you acknowledge that the publication of any such legal information on the Website shall not, under no circumstances, be considered as a legal opinion or a legal advice related to your personal legal situation.
Despite all the care taken by Scripta Legal Inc, publication of any such legal information may contain typographical errors and Scripta Legal Inc. and Logiciels Scripta Inc. disclaim all direct or indirect liability in this regard. SECTION D - INTELLECTUAL PROPERTY RIGHTS
Intellectual property rights in relation to the Website and the Contents
The Website and its Contents belong exclusively and in perpetuity to Logiciels Scripta Inc. which authorized Scripta Legal Inc. to use, operate and commercialize same pursuant to the License.
The Website is subject to exclusive and perpetual copyrights in favour of Logiciels Scripta Inc. which exclusively reserves for itself all rights. Therefore, the Contents of the Website must be considered in the following way: "© Les Logiciels Scripta Legal inc. - All rights reserved"; indeed, Contents of the Website is protected by the Canadian and international laws on copyrights and by the applicable international treaties.
Some of the software and computer programs, both current and future, being currently part of the Website or ensuring its functioning and that will form part of it in the future, including the source codes for such software and computer programs, are the exclusive, universal, irrevocable and perpetual property of Logiciels Scripta Inc. which authorized Scripta Legal Inc. to use it pursuant to the License and that, for ensuring the proper functioning of the Website, it being understood that these software, computer programs and source codes, both current and future, have been assigned to Logiciels Scripta Inc. pursuant to Assignment of Rights Agreements.
However, notwithstanding the assignment of rights in these software, computer programs and source codes as mentioned above, the Library belonging respectively to Mathieu Forget and Forgelogic Inc. is not forming part of such assignment of rights and consequently, Mathieu Forget and Forgelogic Inc. own currently, and will own in the future, all intellectual property rights in the Library, both current and future, pursuant to any laws and regulations applicable throughout the world. All other software not belonging to Mathieu Forget and Forgelogic Inc. and not forming part of an assignment of rights by the latter but also being part of the Website as well as the source codes of all such other software, are the exclusive, universal, irrevocable and perpetual property of Logiciels Scripta Inc., and the same will apply to all such other software that will form part of the Website in the future.
You accept and agree that the Website, the entire Contents available on the Website, including but without no limitation the texts, legal information, legal writings, contract templates, interactive questionnaires and documents, data, images, graphics, photos, videos, interactive features and other material such as client accounts and documents related to the services offered on the Website, including the software, computer programs and source codes enabling the operation of the Website, with the exception of all documents and personal information transmitted by a user on the Website, as well as the name "Scripta Legal" and the logo of Scripta Legal Inc., the domain name of "www.scriptalegal.com" and the trademarks and logos appearing on the Website (the "Trademarks"), are the exclusive, irrevocable and perpetual property of Logiciels Scripta Inc. which granted to Scripta Legal Inc. the necessary authorization to use them pursuant to the License or else, they are the property of third parties as regards elements or material belonging to them exclusively or they are subject to a license granted in favour of the Website and Scripta Legal Inc. but by a corporation other than Logiciels Scripta Inc. and consequently, Logiciels Scripta Inc. is the only one that can decide upon the selection, coordination, arrangement and enhancement of the Contents of the Website and Trademarks.
WARNING: It must be emphasized that the word "Contents", as used for the purposes of this section only, includes also all material of which property rights, copyrights and trademarks belong to third parties and therefore, it is prohibited to use such material without the written permission of their owners.
By using the Website, you agree that the Website, its Contents and Trademarks are protected by copyrights, trademarks and/or other intellectual property rights that are governed by the laws of Canada and any other applicable legislation. All copyrights, trademarks and other intellectual property rights, current and future, related to the Website, its Contents and Trademarks will remain at all times the exclusive, irrevocable and perpetual property of Logiciels Scripta Inc. or of third parties, as the case may be. In addition, Logiciels Scripta Inc. reserves all rights not specifically granted in relation to the Website, its Contents and Trademarks.
Intellectual property rights in relation to trademarks
Trademarks and logos displayed or used on the Website belong to Logiciels Scripta Inc. which authorized Scripta Legal Inc. to use them pursuant to the License or belong to third parties, as the case may be. By permitting access to the Website, Scripta Legal Inc. and Logiciels Scripta Inc. do not authorize in any way the use by any person, directly or indirectly, of a Trademark appearing on the Website without the prior written permission of the owner thereof.
Limited, non-exclusive and non-transferable license
Although Logiciels Scripta Inc. owns all rights on the Website and its Contents, by agreeing to the present Terms of Use, Scripta Legal Inc. grants you a limited, non-exclusive and non-transferable license to use and display on your computer the Website and its Contents for your personal use only in accordance with the License granted to it by Logiciels Scripta Inc., being understood that any commercial use of the Website and its Contents is strictly prohibited, and with the express condition that you make no changes or alterations to the Website and its Contents and that you keep all copyright notices and other proprietary notices included therein.
You are permitted to print or download extracts from the Website and its Contents for the purposes of your own use so long as none of these texts is modified and the relevant copyright notice applying to Logiciels Scripta Inc. or to third parties, as the case may be, is included with and shown in each copy of the Contents that you make, except as regards all the documents and personal information provided by a user on the Website.
SECTION E - TRANSFER OF DOCUMENTS BY THE USER TO THE WEBSITE/THEIR CONTENT
You may transmit, transfer, send, forward or post on the Website any material or document to the extent that its content is not illegal, unlawful, obscene, threatening, defamatory, inflammatory, does not infringe upon the privacy of persons, upon the intellectual property rights of third parties and does not harm third parties or is not reprehensible, and does not involve the introduction of computer viruses, nor does it contain chain letters and any form of spamming or spams.
If you do not respect or observe these restrictions, Scripta Legal Inc. may and is entitled to immediately suspend your client account.
PART 2
OUR POLICIES FOR THE PROTECTION OF PERSONAL INFORMATION AND PRIVACY
INTRODUCTION
Since it collects, uses, holds and communicates personal information, Scripta Legal Inc. is subject to the Act respecting the protection of personal information in the private sector , CQLR, c. P-39.1 as well as the amendment made to said Act by the new Act to modernize legislative provisions as regards the protection of personal information which was adopted on September 21, 2021 and assented to on September 22, 2021 as well as any legislation that may replace them from time to time, if applicable (hereinafter collectively referred to as " Québec Legislation ") just as it must also comply with The Personal Information Protection and Electronic Documents Act , SC 2000, c. 5 and any law that may replace it from time to time, if any (hereinafter referred to as " Canadian Legislation ").
Accordingly, Scripta Legal Inc., as a legal person who operates a business, has adopted, for the purposes of operating the Website, a policy on the protection of personal information that complies with the provisions of the Québec Legislation as well as a privacy policy which complies with the requirements of the Canadian Legislation and which observes the ten rules set out by the Model Code for the Protection of Personal Information (CAN/CSAQ830-96) of the Canadian Standards Association and which are recognized as constituting the National Standard of Canada.
These two policies for the protection of personal information and privacy create a legal obligation binding you to Scripta Legal Inc. and the Website and constitute an agreement between these parties.
Scripta Legal Inc. policies for the protection of personal information and privacy apply to personal information that it collects, uses, holds and communicates on users of the Website and these policies also apply to the management of this information in its electronic, verbal or written form.
These two policies also constitute the commitment of Scripta Legal Inc. to the protection of the private and confidential nature of the personal and/or professional and/or commercial information concerning you and which you provide to the Website. For its part, the personnel of Scripta Legal Inc. will only use the information necessary to respond to your request or to provide you with one of the services on the Website.
Thus, Scripta Legal Inc. undertakes to preserve the confidentiality of your operations and personal information that you transmit to the Website, in accordance with its policies. Since Scripta Legal Inc. collects, uses, holds and communicates personal information as part of its activities, it has also adopted a confidentiality policy which is written in simple and clear terms and published on the Website.
Scripta Legal Inc. has further taken the necessary means and has put in place security measures to ensure confidentiality, unless the services requested by a user require the intervention of third parties, including subcontractors, for the purposes of performing these services and, in particular, in the event that the services requested requires the intervention of governmental or para-public bodies or professional associations or other similar organizations, in which case these third parties process this personal information on behalf of Scripta Legal Inc. and use them for the sole purpose of performing the required tasks that they must perform, while respecting the confidentiality of this information unless your prior consent was obtained.
With its two policies stated above, Scripta Legal Inc. aims to establish responsible practices governing the collection, use, holding and disclosure of personal information in such a way as to take into account the right of individuals to privacy with respect to information concerning them as well as the management of this personal information, all in accordance with the Québec legislation and the Canadian legislation.
We remind you that your use of the Website or any service offered on the Website or the simple access to the Website implies that you accept the conditions of use which are set out therein in section "Terms of Use, Data Protection and Confidentiality" on the Website, including the two aforementioned policies for the protection of personal information and privacy in compliance with the Québec Legislation and the Canadian Legislation, and that you consent to the collection, use, holding, communication and the protection of your personal information in accordance with these conditions. Also, when you access the Website of any company affiliated with the Website, whether or not it appears on the Website, you are then bound by the terms and conditions governing such company and the services offered by it.
SECTION A - QUÉBEC LEGISLATION
Regarding the application of the Québec legislation, it is provided that a person who collects personal information about others for a serious and legitimate reason is then deemed to establish a file within the meaning of the Civil Code of Québec and the rights concerning this file conferred by the relevant sections of this Code apply to personal information so collected.
WHAT CONSTITUTES "PERSONAL INFORMATION"
According to the Act respecting the protection of personal information in the private sector (CQLR c. P-39.1), any information that concerns a natural person (individual) and that makes it possible to identify said person is considered to be personal information. This law applies to personal information, regardless of its characteristics and the form in which they are accessible, whether written, graphic, audio, visual, computerized or any other form. This law also applies to personal information held by any professional association insofar as this is provided for in the Professional Code (c. 26).
As part of its policy for the protection of personal information, what Scripta Legal Inc. considers to be " personal information ": Any information relating to or concerning a natural (individual) or legal (corporation, company, etc.) person that makes it possible to identify said person or that can be used to identify the latter in a specific way, whether by using this information only or this information combined with other information held by the Website, including information, data and personal facts that you provide or transmit to the Website through answers to the interactive questionnaires in order to generate the legal document or the chosen service. This is why it is sometimes referred to as personally identifiable information. This definition therefore excludes general information that cannot be associated with a specific natural or legal person.
Notwithstanding the foregoing, Scripta Legal Inc. does not consider as being personal information any information or data that has become or made anonymous or depersonalized or that has been aggregated in such a way as not to be able to identify specifically and in any way whatsoever a natural or legal person.
OUR POLICY FOR THE PROTECTION OF PERSONAL INFORMATION

Under the Québec Legislation, Scripta Legal Inc. is responsible for protecting personal information that it holds.
In accordance with its obligation under the Québec Legislation, Scripta Legal Inc. has established and implemented a policy and practices which provide legal framework for its governance and which aim at personal information of its users to ensure their protection.
Currently, retention of personal information collected by Scripta Legal Inc. is not ensured by the latter, but rather ensured by a third party, being the business enterprise called "Avancie", in accordance with a service agreement.
Our privacy officer in charge for the protection of personal information
To ensure protection of personal information that it holds, Scripta Legal Inc. has enlisted, within its personnel, a person as a privacy officer in charge for the protection of personal information, this office having been delegated in writing and in full by the highest authority of Scripta Legal Inc. to the person mentioned hereinafter: Mathieu Forget, who is the vice-president within the corporation and who can be reached by email at the following address: mathieu.forget@scriptalegal.com. In the event of a change at the level of the person assuming this task, users of the Website will be advised by a notice that will be clearly highlighted on the Website.
Our management for the collection of personal information
Since Scripta Legal Inc. collects personal information for a serious and legitimate reason, it must, before proceeding with the collection of this information, determine the purposes for which this collection is made.
In fact, according to the Québec Legislation, Scripta Legal Inc. can only collect the information that is necessary for the purposes it will have determined before its collection, Scripta Legal Inc. being bound to respect this obligation at all times as part of its business operations.
It is established by the Québec Legislation that personal information collected by a business may only be used by it for the purposes for which it was collected, unless the person concerned has given his or her consent for any other use.
In addition, if Scripta Legal Inc. collects personal information from another person who operates a business itself, it must, at the request of any person concerned, inform the latter about the source of this information.
How we collect personal information under the Québec Legislation
In particular through its policy for the protection of personal information which is posted on the Website and can be viewed and read by any user of the Website under the heading "Terms of Use, Data Protection and Confidentiality", as well as through the operation of the Website, Scripta Legal Inc., in accordance with the Quebec Legislation, at the time of collection of personal information and thereafter, upon request, informs any person concerned in the manner described below with respect to the elements mentioned below:
1. The purposes for which the information is collected
Scripta Legal Inc. collects personal information from users, in particular for the purpose of providing them with the service they have requested on the Website and this, with the aim of instantly generating the legal documents they want to obtain.
Scripta Legal Inc. collects personal information when any user responds to interactive questionnaires on the Website in order to obtain the service he has requested. When they are using a service on the Website, users are informed that they must submit personal information when answering interactive questionnaires.
On the other hand, after obtaining the service requested on the Website, any user may ask Scripta Legal Inc. to destroy personal information that he has provided in order to get him such a service, subject to the verification of his identity.
Also, we invite you to consult on this subject matter the sub-paragraph entitled "Determination of purposes concerning the use of personal information" and appearing in "Section B - The Canadian Legislation" of this "Part 2" entitled "Our policies on the protection of personal information and privacy".
2. The means by which his information is collected
Scripta Legal Inc. collects personal information from users by using interactive questionnaires related to each of the services offered on the Website.
By answering the interactive questionnaires, any user understands that he must provide personal information if he wants to obtain the requested service. Also, a user may have to upload on the Website files belonging to him and containing personal information and this, in order to obtain a service on the Website.
Any user may ask Scripta Legal Inc., at any time, to destroy the personal information that he has provided, after verification of his identity.
3. His rights of access and rectification, as provided for under the Quebec Legislation
Users of the Website can communicate at any time with the person in charge for protecting personal information at Scripta Legal Inc. to obtain confirmation of the existence of their personal information and its accuracy.
Also, users can always consult their personal information already provided by consulting their customer account on the Website; likewise, they can rectify or change themselves, through their customer account on the Website, certain personal information that they have already provided.
By using services on the Website and responding to interactive questionnaires for a chosen service, users understand that they must provide personal information to obtain the requested service; and if they don't provide their personal information for this service, then they know they won't be able to get a personalized legal document that meets their specific needs.
However, users can always request the destruction of their personal information already provided; Scripta Legal Inc. will then verify the identity of the person requesting such destruction.
4. His right to withdraw his consent to the communication or use of the information collected
Scripta Legal Inc. no longer uses or communicates personal information provided by users once the service requested by them has been given and rendered.
In addition, once the service has been provided to any user, the latter may ask Scripta Legal Inc. that the information contained in the interactive questionnaires for the requested service be destroyed, subject to the verification of his identity.
By acting in this manner, Scripta Legal Inc. ensures that any user of the Website does not need to withdraw his consent to the communication or use of the information collected or to request such withdrawal.
If applicable, any person concerned by personal information is informed of the name of the third party for whom the collection of personal information is made by Scripta Legal Inc. as well as the name of the third parties or categories of third parties to whom it is necessary to communicate the information for the purposes intended for their collection as well as the possibility that this information may be communicated outside the Province of Quebec.
At his request, any user of the Website may also be informed, in simple and clear terms, of the personal information collected from him, the categories of persons having access to this information within Scripta Legal Inc., the duration of their retention and the contact details of the person in charge for protecting personal information at Scripta Legal Inc.
This mention herein in connection with the use by Scripta Legal Inc. of personal information and related information transmitted by the latter to the persons concerned, is equivalent to a disclosure to the users of the Website and to the persons concerned.
Our policy regarding personal information under the Quebec Legislation
In accordance with the requirements of the Quebec Legislation, Scripta Legal Inc. has adopted a policy on personal information collected from others, the detailed information and content of which are expressed in simple and clear terms and are published on the Website, said policy dealing in particular with the subject matters mentioned below:
(a) Applicable framework to the retention and destruction of personal information collected from the persons concerned
Scripta Legal Inc. retains personal information provided by users of the Website and contained in interactive questionnaires once the service requested by them has been provided.
However, Scripta Legal Inc. may destroy, at the request of any person concerned, personal information collected and used, after verifying the identity of such person.
Regarding personal information attached to the credit cards of users of the Website and used to pay for the services requested, this information is erased from the Website after any payment made has been confirmed and this information is never kept for cases where users would return to the Website in order to purchase a new service.
We would like to point out that customer accounts created by users of the Website are never destroyed, unless a user expressly requests it.
This framework is specified, for the benefit of users, in the Terms of Use of the Website under the heading "Terms of Use, Data Protection and Confidentiality" as well as on the Website itself at the level of interactive questionnaires to which users must answer.
The personnel of Scripta Legal Inc. see to the respect of this framework. Any user of the Website may request the destruction of his personal information, after verification of his identity.
(b) Roles and responsibilities of its personnel throughout the life cycle of personal information
At the level of the personnel of Scripta Legal Inc., not all of its personnel members have access to the personal information of users of the Website.
Scripta Legal Inc. has implemented, for the benefit of its personnel, a process for accessing to personal information, a process which is part in particular of its confidentiality policy.
It should be mentioned that all the personnel of Scripta Legal Inc. have undergone a pre-employment screening and signed a confidentiality agreement with the latter.
(c) Complaints handling process in relation with protecting personal information
Within Scripta Legal Inc., Mathieu Forget, acting as the person in charge for protecting personal information, has been mandated to receive and process complaints relating to the protection of personal information, this person can be reached by using the contact details of Scripta Legal Inc. appearing on the Website.
Mathieu Forget will ensure that he finds out, within a reasonable time, the merits of any complaint made by a user of the Website, will make a decision on this subject matter and will have the task of informing this user of the decision rendered in relation with his complaint, while informing him of any other steps he could take regarding the complaint he has made in the event that this decision has not been rendered in favor of this user.
Scripta Legal Inc. has ensured that its policy for protecting personal information is commensurate with the nature and scale of its commercial operations and has been approved by its person in charge for protecting personal information.
This mention herein in connection with the policy adopted by Scripta Legal Inc. for protecting personal information of the persons concerned, is equivalent to a disclosure to the users of the Website and to the persons concerned.
CONSENT OF THE PERSONS CONCERNED
Use of personal information and consent
Unless there is consent from any person concerned to any other use or communication to third parties or, unless the Quebec Legislation so provides, personal information of such person may only be used for the purposes for which it has been collected just as it cannot be communicated to third parties.
Content of the consent of a person concerned and its duration
As provided under the Quebec Legislation, the consent of a person concerned in connection with his personal information must be manifest, free, informed and be given for specific purposes as well as be requested for these purposes in simple and clear terms and it must also be demonstrated in an express way whenever it comes to sensitive personal information in the sense that, by its medical, biometric or otherwise intimate nature, or by reason of the context of its use or communication, this information then gives rise to a high degree of reasonable expectation of privacy.
If the request for consent is made in writing to a person concerned, it must be presented to the latter separately from any other information communicated to him and if this person so requests, he will then be given assistance to help him understand the scope of the consent that is requested from him.
In fact, consent of a person concerned is valid only for the duration necessary to achieve the purposes for which it was requested. In addition, consent that is not given in accordance with the provisions of the Quebec Legislation is without effect.
Case of persons concerned who are minors
If it comes to the consent of a minor under the age of 14, consent must be given by the holder of parental authority or by the tutor of this minor. In addition, personal information of this minor cannot be collected without obtaining such consent unless the collection thereof is clearly carried out for the benefit of the minor.
If it concerns a minor aged 14 or over, consent is then given by the minor himself, by the holder of parental authority or by the tutor of this minor.
USE OF PERSONAL INFORMATION COLLECTED FOR A PURPOSE DIFFERENT FROM ITS ORIGINAL PURPOSE, WITHOUT CONSENT
According to the Quebec Legislation, personal information may be used for a purpose other than the one originally intended, without obtaining the consent of the person concerned, in any of the following cases:
1. Its use is made for purposes compatible with those for which it was collected in the first place, in the sense that there must be a relevant and direct link with the purposes for which the information was collected, being understood that commercial or philanthropic prospecting is not constituting such compatible purpose;
2. Its use is clearly made for the benefit of the person concerned;
3. Its use is necessary for the purposes of prevention and detection of fraud or, evaluation and improvement of protection and security measures;
4. Its use is necessary for the purpose of supplying or delivering a product or providing a service requested by the person concerned;
5. Its use is necessary for the purposes of study, research or production of statistics and that the information is depersonalized in the sense that it no longer allows the person concerned to be directly identified.
USE OF PERSONAL INFORMATION WITHOUT OBTAINING CONSENT OF THE PERSON CONCERNED
According to the Quebec Legislation, personal information may be communicated or used, without obtaining the consent of the person concerned, in each of the cases mentioned hereinafter.
1- Communication of personal information is necessary for the exercise of a mandate or for the performance of a service or business agreement
If communication of personal information to any person or organization is necessary for the exercise of a mandate or for the performance of a service or business agreement that has been entrusted in writing to such person or organization, the Quebec Legislation allows its use and communication without the consent of the person concerned, but only insofar as such mandate or agreement has been given in writing.
Currently, Scripta Legal Inc. communicates to any person or organization personal information necessary for the exercise of a mandate or for the performance of a service or business agreement entrusted in writing to such person or organization.
Any person or organization that executes such a mandate or agreement must immediately notify the person in charge for protecting personal information within a business enterprise of any breach or attempted breach of any of the obligations in connection with the confidentiality of the information communicated and allow such person in charge to carry out any verification related to this confidentiality.
2- Communication of personal information is necessary to conclude a commercial transaction
If communication of personal information is necessary to conclude a commercial transaction to which the disclosing party intends to be a party, the Quebec Legislation allows the use and communication of such information to the other party to the transaction without seeking consent.
Currently, Scripta Legal Inc. may find itself in the situation where it must communicate personal information that is necessary for the purpose of concluding a commercial transaction.
In the case of such a situation, an agreement must first be concluded with the other party providing that such other party undertakes as follows:
(a) use such information only for the purpose of concluding the transaction;
(b) not to communicate such information without the consent of the person concerned, unless authorized to do so by the Quebec Legislation;
(c) take the necessary measures to ensure the protection of the confidential nature of such information;
(d) destroy such information if the commercial transaction is not concluded or if its use is no longer necessary for the purposes of concluding such transaction.
If the commercial transaction is concluded and the other party wishes to continue to use such information thereafter, it may then only use it in accordance with the provisions of the Quebec Legislation. In addition, this other party must, within a reasonable time after the conclusion of the said transaction, notify the person concerned that it holds personal information concerning him as a result of such transaction.
According to the Quebec Legislation, a commercial transaction includes the alienation or rental of all or part of a business or its assets, the modification of its legal structure by merger or otherwise, the obtaining of a loan or any other form of financing or a security taken to guarantee one of its obligations.
3- Communication of personal information is made to any person for the purposes of study, research or production of statistics
If communication of personal information is made to any person or organization wishing to use such information for the purposes of study, research or production of statistics, the Quebec Legislation allows the use and communication of such information without the consent of the person concerned.
Currently, Scripta Legal Inc. does not communicate personal information of the persons concerned to any person or organization wishing to use such information for the purposes of study, research or production of statistics.
However, in the event of such communication from Scripta Legal Inc., this communication may take place without obtaining the consent of the person concerned, if an assessment of the privacy impact reaches the following conclusions:
(a) the purpose of the study, research or production of statistics can only be achieved if the information is communicated in a form which makes it possible to identify the persons concerned;
(b) it would be unreasonable to require the person or organization to obtain the consent of the persons concerned;
(c) the purpose of the study, research or production of statistics outweighs, having regard to the public interest, the impact of the communication and use of the information related to privacy of the persons concerned;
(d) personal information is used in a manner that ensures its confidentiality;
(e) only necessary information is communicated.
In addition, any person or organization wishing to use personal information for such purposes, must do the following:
i) submit its request in writing;
i) attach to its request a detailed presentation of the research activities;
ii) set out the reasons that can support that the criteria mentioned in sub-paragraphs (a) to (e) of the preceding paragraph are met;
iii) mention all the persons and all the organizations to which it makes a similar request for the same purposes;
iv) if applicable, describe the different technologies that will be used to process this information;
v) if applicable, send the documented decision of a research ethics committee regarding this study, research or production of statistics.
Any business enterprise or person communicating this personal information for such purposes, must previously enter into an agreement with the person or organization to which it is transmitted, an agreement providing in particular that this information:
1) can be made accessible only to persons for whom its knowledge is necessary for the performance of their duties and who have signed a confidentiality agreement;
2) cannot be used for purposes other than those provided for in the detailed presentation of research activities;
3) cannot be matched with any other file of information that is not provided for in the detailed presentation of research activities;
4) cannot be communicated, published or otherwise disseminated in a form which allows the identification of the persons concerned.
This agreement, which must be sent to the "Commission d'accès à l'information" established by Section 103 of the Act respecting access to documents held by public bodies and the protection of personal information (c. A-2.1) (the "Commission") and come into force 30 days after its receipt by the latter, must also:
(a) provide for the information that must be communicated to the persons concerned when the information concerning them is used to contact them with a view to their participation in the study or research;
(b) provide for measures to ensure the protection of this information;
(c) determine a retention period for this information;
(d) provide for the obligation to notify the person disclosing the information, of the destruction of such information;
e) provide that the person who communicates this information and the Commission must be notified without delay in the event of non-compliance with any condition provided for in the agreement or any breach of the protective measures provided for in the agreement or, any event likely to breach the confidentiality of this information.
OBLIGATION RELATED TO A CONFIDENTIALITY INCIDENT
Obligation concerning the occurrence of any confidentiality incident
In accordance with the requirements of the Quebec Legislation, if Scripta Legal Inc. has reasons to believe that a confidentiality incident has occurred and that it involves personal information that it holds, it must then take reasonable measures to reduce the risk of harm being caused by such an incident and prevent new incidents of the same nature from occurring again in the future.
Maintaining a register of confidentiality incidents
According to the Quebec Legislation, Scripta Legal Inc. must also keep a register of confidentiality incidents that have occurred, a copy of which will be sent to the Commission at the latter's request, it being understood that the regulations adopted under the Quebec Legislation may determine the content of this register.
What is constituting a confidentiality incident
The Quebec Legislation means by "confidentiality incident" the following:
(a) the access not authorized by the Quebec Legislation to personal information;
(b) the use not authorized by the Quebec Legislation of personal information;
(c) the communication not authorized by the Quebec Legislation of personal information;
(d) the loss of personal information or any other breach of the protection of such information.
Risk assessment of harm caused
When assessing the risk that harm is caused to a person whose personal information is the subject of a confidentiality incident, it must be considered, in consultation with the person in charge for protecting personal information within a business enterprise, in particular the sensitivity of the personal information concerned, the apprehended consequences of its use and the likelihood that it will be used for harmful purposes.
Cases where there is a risk that serious harm is caused - notices given
If the occurrence of a confidentiality incident presents the risk of serious harm being caused, Scripta Legal Inc. must diligently notify the Commission as well as any person whose personal information is affected by such an incident, failing which the Commission may order Scripta Legal Inc. to do so.
Scripta Legal Inc. may also notify any person or organization likely to reduce this risk, by communicating to such person or organization only the personal information necessary for this purpose without the consent of the person concerned and in the event of such a case mentioned above, its person in charge for protecting personal information must record the communication.
The regulations adopted under the Quebec Legislation may determine the content and terms of these notices.
Exemption from notification to the person concerned in case of interference with an investigation
Notwithstanding the foregoing, a person whose personal information is affected by a confidentiality incident does not have to be notified in the event that such notice would likely interfere with an investigation carried out by any person or organization which, under the Quebec Legislation, is responsible for preventing, detecting or repressing crime or legal offences.
COLLECTION OF PERSONAL INFORMATION WHEN A TECHNOLOGICAL PRODUCT OR SERVICE IS OFFERED TO THE PUBLIC
As part of its collection of personal information, Scripta Legal Inc. collects personal information by offering a technological service to the public that has confidentiality parameters. Consequently, it must see to respect the provisions of the Quebec Legislation applying to this subject matter.
In accordance with the requirements of the Quebec Legislation, since Scripta Legal Inc. collects personal information by offering to the public a technological product or service with confidentiality parameters, it must then ensure that, by default, these parameters provide the highest level of confidentiality, without any intervention by the person concerned.
Notwithstanding the foregoing, the confidentiality parameters of a cookie are not subject to this obligation.
USE OF TECHNOLOGY TO IDENTIFY, LOCATE OR PERFORM PROFILING
As part of its collection of personal information, Scripta Legal Inc. does not currently use any technology that would allow it to identify, locate or perform profiling of the persons concerned. Consequently, it is not currently subject to the provisions of the Quebec Legislation applicable in this regard.
Obligation to inform the persons concerned about such technology
But if Scripta Legal Inc., when collecting personal information from a person concerned, uses a technology comprising functions enabling to identify, locate or perform profiling of this person, it must then inform this person in advance as follows, in addition to the information that must be transmitted to such person in accordance with our sub-paragraph entitled "How we operate to collect personal information under the Quebec Legislation":
(a) the fact that it uses such a technology, it being understood that any person providing his personal information under the Quebec Legislation, in relation with the particulars to be transmitted to him by a business when collecting his information or at his request and which we have dealt with in our sub-paragraph entitled "How we operate to collect personal information under the Quebec Legislation", consents to their use and communication for the purposes referred to in this sub-paragraph; and
(b) the means it offers to activate the functions enabling to identify, locate or perform profiling.
Obligation to publish and disseminate a confidentiality policy on the Website
Also, if Scripta Legal Inc. collects personal information by technological means, it must publish on the Website and also, disseminate by any means appropriate to reach all the persons concerned, a confidentiality policy which must be written in simple and clear terms, including any modifications that may be made to this confidentiality policy. We would like to point out that Scripta Legal Inc. has adopted a confidentiality policy which is published on the Website.
What constitutes profiling
According to the Quebec Legislation, profiling means the collection and use of personal information to assess certain characteristics of a natural person, in particular for the purposes of analyzing performance at work, the economic situation, health, personal preferences, interests or behavior of that person.
USE OF PERSONAL INFORMATION TO MAKE A DECISION BASED ON THEIR AUTOMATED PROCESSING
In connection with its collection of personal information, Scripta Legal Inc. does not currently use personal information of the persons concerned for the purpose of making a decision that would be based exclusively on the automated processing of this information. Consequently, it is not currently subject to the provisions of the Quebec Legislation applicable in this regard.
Obligation to inform any person concerned
However, if Scripta Legal Inc. comes to use personal information of a person concerned in order to render a decision based exclusively on automated processing thereof, it must then inform this person and this, at the latest at the same time as it informs him of the results of this decision thus rendered.
Additional parameters of this information obligation
In the context of executing this obligation, Scripta Legal Inc. must also, at the request of the person concerned, inform the latter of the following additional elements:
1) of his personal information that was used to render the decision;
2) of the reasons, as well as the main factors and parameters, which led to the decision rendered; and
3) of his right to have the personal information used to render such a decision rectified, it being understood that on this occasion, the person concerned must be given the opportunity to present his observations to a member of the personnel at Scripta Legal Inc. who is in a position to review the decision rendered.
USE OF PERSONAL INFORMATION FOR PURPOSES OF COMMERCIAL OR PHILANTHROPIC PROSPECTING
In connection with its collection of personal information, Scripta Legal Inc. does not presently use personal information of the persons concerned for the purposes of commercial or philanthropic prospecting. Consequently, it is not currently subject to the provisions of the Quebec Legislation applicable in this regard.
Obligation of identification and information of the rights of the persons concerned
However, if Scripta Legal Inc. comes to use personal information of a person concerned for purposes of commercial or philanthropic prospecting, it must then identify itself as such to the person concerned whom it is addressing and inform such person of his right to withdraw his consent that personal information concerning him be used for these purposes, it being understood that if the person concerned withdraws his consent, his personal information must cease to be so used.
COMMUNICATION OF PERSONAL INFORMATION TO THE SPOUSE OR CLOSE RELATIVE OF A PERSON CONCERNED WHO IS DECEASED
Scripta Legal Inc. may communicate to the spouse or a close relative parent of a person concerned who is deceased, personal information that it holds concerning such person and this, insofar as knowledge of this information is likely to help the spouse or close relative parent in his grieving process and that the deceased person concerned has not written down his refusal to grant such access.
PROJECT FOR THE ACQUISITION, DEVELOPMENT AND REDESIGN OF THE INFORMATION OR ELECTRONIC SERVICE DELIVERY SYSTEM
Currently, it may happen that Scripta Legal Inc. be involved in the implementation of a project to acquire, develop and redesign its information or electronic service delivery system, being a project then involving the collection, use, communication, retention or destruction of personal information. Consequently, it must see to respect the provisions of the Quebec Legislation applying to this subject matter.
Obligation to assess the privacy impact of any such project
In such a case, if Scripta Legal Inc. implements any project to acquire, develop and redesign its information or electronic service delivery system, a project that involves the collection, use, communication, retention or destruction of personal information, it must then carry out an assessment of the privacy impact of any such project.
Ins and outs of required assessment
For the purpose of conducting this assessment of the privacy impact, Scripta Legal Inc. must consult, from the outset of any such project, its person in charge for protecting personal information; it must also ensure that such a project allows computerized personal information collected from the person concerned to be communicated to the latter in a structured and commonly used technological format.
However, carrying out such an assessment must be proportionate to the sensitivity of the information concerned, the purpose of its use, its quantity, its distribution and its medium.
Measures to protect personal information of the persons concerned
The person in charge for protecting personal information at Scripta Legal Inc. may, at any stage of such a project, suggest measures to protect personal information concerned by this project, such as:
1) the appointment of a person responsible for implementing the measures for the protection of personal information;
2) the determination of the measures for the protection of personal information in any document relating to such project;
3) a description of the responsibilities of the participants in such project with regard to the protection of personal information; and
4) the holding of training activities on the protection of personal information for participants in such a project.
COMMUNICATION OF PERSONAL INFORMATION OUTSIDE THE PROVINCE OF QUEBEC
Currently, Scripta Legal Inc. does not communicate outside the Province of Quebec any personal information that it has collected. Consequently, it is not presently subject to the provisions of the Quebec Legislation applicable in this regard. However, in the future, it could decide to communicate personal information outside the Province of Quebec and in such a case, it will have to respect the provisions of the Quebec Legislation applying to this subject matter.
Obligation to assess the privacy impact prior to any communication
In the event that Scripta Legal Inc. communicates personal information outside the Province of Québec, it must then, prior to communicating such information, carry out an assessment of the privacy impact.
Ins and outs of required assessment
As part of this privacy impact assessment, Scripta Legal Inc. must in particular take into account the following elements:
(a) the sensitivity of the information concerned;
b) the purpose of its use outside the Province of Quebec;
(c) the measures of protection, including those which are contractual, from which the information would benefit in the context of its communication; and
d) the legal system applicable in the state or country where this information would be communicated, in particular the principles of protection of personal information which are applicable there.
Authorization to communicate and written agreement
The communication may take place if said privacy impact assessment demonstrates that the information would benefit from adequate protection, in particular with regard to generally recognized principles of protection of personal information. However, in the future, it may decide to do so.
In the event that Scripta Legal Inc. entrusts a person or organization outside the Province of Québec with the task of collecting, using, communicating or retaining such information on its behalf, the regulations relating to the obligation to assess the privacy impact and the terms of the required assessment, shall then apply.
However, the previous sub-paragraph does not apply to a communication made to a person to whom this communication must be made due to an emergency situation endangering the life, health or safety of the person concerned.

Obligation of destruction when the intended purposes for the collection of personal information have been achieved

(a) the fact that the person concerned is a public figure;

(g) if such information concerns a criminal or penal proceeding, the obtaining of a pardon or the application of a restriction on the accessibility of court records;
3) the termination of dissemination, re-indexing or de-indexing requested does not exceed what is necessary to prevent the harm from continuing.
The person in charge for protecting personal information at Scripta Legal Inc. must respond in writing to any such request within thirty days of its receipt and he must respond by giving reasons for any refusal to agree to such request, where applicable. If he agrees to such a request, this person in charge must certify, in his written response, that the personal information concerned has ceased to be disseminated or that the hyperlink concerned has been de-indexed or re-indexed.
ADMINISTRATIVE MONETARY PENALTY IN CASE OF NON-COMPLIANCE WITH THE QUEBEC LEGISLATION
Administrative monetary penalty imposed by the Commission
An administrative monetary penalty may be imposed by a person designated by the Commission, but who is not a member of one of its sections, on anyone who does not comply with the provisions of the Quebec Legislation.
Possibility of a commitment made to the Commission
Following non-compliance with the Quebec Legislation, any person concerned by a breach of said Legislation may, at any time, make a commitment to the Commission to take the necessary measures to remedy the breach or mitigate its consequences. This commitment must set out the acts or omissions that constitute a breach and the provisions in question. This commitment may also include such conditions as the Commission deems necessary and it may provide for the obligation to pay a sum of money. If the commitment is accepted by the Commission and that it is respected, any person who collects, uses, communicates or holds personal information cannot be subject to an administrative monetary penalty with respect to the acts or omissions mentioned in the commitment.
Penal prosecution
The Commission may also, in accordance with Section 10 of the Code of Penal Procedure (c. C-25.1), institute penal proceedings for an offence under the Quebec Legislation.
